Project Terms & Confidentiality Agreement

This Agreement is entered into between Shoot Junction Private Limited (SJPL), a company incorporated under the laws of India and having its registered office at No 42, 2nd Floor, The White House, MK2, Sector 57, Gurgaon 122001, Haryana, India, and the Client (individual or entity submitting a project request through this platform). By submitting a project request, the Client agrees to the terms of this Agreement and acknowledges that such acceptance constitutes a legally binding electronic agreement under applicable Indian laws.

1. Purpose

The purpose of this Agreement is to facilitate the sharing of project-related information for evaluation, collaboration, and execution of creative services through Shoot Junction. Both parties may share confidential and proprietary information including, but not limited to, project briefs, concepts, business details, creative assets, technical processes, pricing, and any related materials shared in written, verbal, or digital form.

2. Confidential Information

All such information shall be treated as Confidential Information. The receiving party agrees to maintain strict confidentiality, use the information solely for the purpose of project discussion and execution, and not disclose it to any unauthorized third party. Disclosure may only be made to employees, contractors, or partners who are bound by confidentiality obligations.

The receiving party shall take reasonable measures to protect such information and shall not copy, reproduce, reverse engineer, or misuse it in any manner.

3. Data Processing

Shoot Junction may use secure third-party platforms or systems to store, process, and manage project-related data. If any personal data is shared, the Client confirms that they have the necessary rights and consent to share such data, and agrees that it may be processed strictly for project-related purposes in compliance with applicable data protection laws.

4. Duration of Obligations

Confidentiality obligations shall remain valid during the term of this Agreement and for a period of five (5) years thereafter, except in cases of trade secrets where obligations shall continue indefinitely.

These obligations shall not apply to information that is:

  • Publicly available through no fault of the receiving party
  • Already known prior to disclosure
  • Lawfully received from a third party without restriction
  • Independently developed without reference to the confidential information
  • Required to be disclosed by applicable law or court order

5. Intellectual Property

All intellectual property rights in the shared information shall remain with the original owner. No license, transfer, or ownership rights are granted by virtue of sharing such information, unless explicitly agreed in writing.

6. No Obligation to Proceed

Submission of a project request does not create any obligation for Shoot Junction to accept or execute the project. All information is provided on an "as-is" basis without warranties of any kind. Both parties reserve the right to discontinue discussions at any stage without liability.

7. Remedies & Governing Law

In the event of any breach of this Agreement, the affected party shall have the right to seek appropriate legal remedies, including injunctive relief and damages. This Agreement shall be governed by and interpreted in accordance with the laws of India, and any disputes shall fall under the jurisdiction of the courts located in Gurgaon, Haryana.

8. Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes any prior discussions or agreements. Any amendments must be made in writing and mutually agreed upon.

By proceeding with project submission, the Client confirms that they have read, understood, and agreed to these terms, whether acting as an individual or as an authorized representative of an organization. Shoot Junction respects your privacy and ensures that all project information is handled with strict confidentiality.
